Terms of Use

Sunstone Health, Inc.

These Terms of Use (“Terms”) govern your use of sunstonehealth.com, the Sunstone application at app.sunstonehealth.com, and related services (together, the “Services”) provided by Sunstone Health, Inc. (“Sunstone Health,” “we,” “us”). By using the Services you agree to these Terms. If you do not agree, do not use the Services.

1. Who provides what

Sunstone Health, Inc. operates the Services and provides technology, care coordination, and administrative support. Medical services are provided by Sunstone Clinical, PC, a separate, physician-owned medical practice, and by independent ABA providers in the Sunstone Certified ABA Provider Network. Sunstone Health, Inc. does not practice medicine, does not employ the physicians who treat patients, and does not control their professional judgment.

Your relationship with Sunstone Clinical, PC as a patient is governed by the practice’s informed consent, telehealth consent, and Notice of Privacy Practices, which you will receive before care begins. These Terms do not replace those documents.

2. Not for emergencies

The Services are not for medical emergencies. If you or your child are experiencing a medical emergency, call 911 or go to the nearest emergency room. Do not use the website or application to request urgent help.

3. Information on the website is not medical advice

Content on the public website, including descriptions of conditions, tests, and therapies, is general information and is not a substitute for the advice of a qualified clinician who knows your child. Nothing on the website creates a physician-patient relationship. A physician-patient relationship with Sunstone Clinical, PC is formed only when the practice accepts you or your child as a patient.

4. Eligibility and accounts

You must be at least 18 years old to use the Services and must be the parent or legal guardian of any child whose information you provide. You are responsible for keeping your login credentials confidential and for all activity under your account. Tell us promptly at support@sunstonehealth.com if you believe your account has been accessed without authorization.

5. Acceptable use

You agree not to:

  1. Use the Services for any unlawful purpose or in violation of these Terms.
  2. Provide false information or impersonate another person.
  3. Access or attempt to access another user’s account or data.
  4. Interfere with the operation or security of the Services, including by introducing malicious code, scraping, or probing for vulnerabilities.
  5. Use the Services to build a competing product or to extract data for commercial purposes.
  6. Submit a provider network application on behalf of an organization you are not authorized to represent.

6. Provider network applications

Submitting an application to the Sunstone Certified ABA Provider Network is a request for consideration, not an offer or acceptance of a contract. Network participation is governed by a separate written agreement. Information you submit in an application will be used to evaluate your organization and may be retained as described in our Privacy Policy.

7. Fees and payment

Some services are available on a cash-pay basis. Prices, what is included, and payment timing are shown at the point of purchase. Payments are processed by a third-party payment processor. Clinical fees are charged by or on behalf of Sunstone Clinical, PC; technology and coordination fees are charged by Sunstone Health, Inc. [Refund policy to be inserted: for example, whether the Precision Care Plan fee is refundable before record review begins, and how monthly care team subscriptions may be cancelled.]

8. Intellectual property

The Services, including text, graphics, logos, software, and the Sunstone and Sunstone Clinical names and marks, are owned by Sunstone Health, Inc. or its licensors and are protected by intellectual property laws. We grant you a limited, revocable, non-exclusive, non-transferable license to use the Services for their intended purpose. You may not copy, modify, distribute, or create derivative works from the Services except as the law permits.

Feedback you provide may be used by us without obligation to you.

9. Your content

You retain ownership of information you submit through the Services. You grant Sunstone Health, Inc. and Sunstone Clinical, PC a license to use that information to provide the Services, as described in the Privacy Policy and, for protected health information, the Notice of Privacy Practices.

10. Third-party services

The Services may link to or integrate with third-party services, including ABA providers, laboratories, diagnostic partners, and payment processors. Those services are governed by their own terms and privacy policies. We are not responsible for them.

11. Disclaimers

THE SERVICES ARE PROVIDED “AS IS” AND “AS AVAILABLE.” TO THE FULLEST EXTENT PERMITTED BY LAW, SUNSTONE HEALTH, INC. DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE.

Nothing in this section limits the professional obligations of Sunstone Clinical, PC or its clinicians to their patients.

12. Limitation of liability

TO THE FULLEST EXTENT PERMITTED BY LAW, SUNSTONE HEALTH, INC. AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, DATA, OR GOODWILL, ARISING FROM YOUR USE OF THE SERVICES. OUR TOTAL LIABILITY FOR ANY CLAIM ARISING FROM THE SERVICES WILL NOT EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID SUNSTONE HEALTH, INC. IN THE TWELVE MONTHS BEFORE THE CLAIM OR (B) ONE HUNDRED DOLLARS.

Some jurisdictions do not allow certain limitations, so some of the above may not apply to you. This section does not limit liability for medical malpractice claims against Sunstone Clinical, PC or its clinicians, which are governed by applicable law.

13. Indemnification

You agree to indemnify and hold harmless Sunstone Health, Inc. from claims, losses, and expenses, including reasonable attorneys’ fees, arising from your violation of these Terms or misuse of the Services.

14. Termination

We may suspend or terminate your access to the Services at any time for violation of these Terms or to protect the Services or other users. You may stop using the Services at any time. Termination of your account does not end an existing patient relationship with Sunstone Clinical, PC, which is governed by the practice’s own policies.

15. Governing law and disputes

These Terms are governed by the laws of the Commonwealth of Massachusetts, without regard to conflict-of-law rules.

Any dispute arising from these Terms or the Services that cannot be resolved informally will be resolved by binding arbitration administered by JAMS in Boston, Massachusetts, under its rules then in effect. Either party may seek relief in small claims court for qualifying claims, and either party may seek injunctive relief in court to protect intellectual property or confidential information. YOU AND SUNSTONE HEALTH, INC. EACH WAIVE THE RIGHT TO A JURY TRIAL AND TO PARTICIPATE IN A CLASS ACTION.

This section does not apply to claims of medical malpractice against Sunstone Clinical, PC or its clinicians.

16. Changes to these Terms

We may update these Terms. We will post the updated version with a new effective date and, for material changes, notify account holders. Continued use after the effective date constitutes acceptance.

17. General

If any provision of these Terms is found unenforceable, the rest remain in effect. These Terms, together with the Privacy Policy and any agreements you sign with Sunstone Clinical, PC, are the entire agreement between you and Sunstone Health, Inc. regarding the Services. You may not assign these Terms; we may assign them in connection with a merger, acquisition, or sale of assets.
